Lesson 5: 19.5: Distressed Debt, Restructuring, & Bankruptcy Investing
Analyze distressed debt valuation, Chapter 11 bankruptcy restructurings, fulcrum securities, and loan-to-own strategies.
1. Distressed Debt & Chapter 11 Reorganization
Distressed debt investing targets securities of companies in or near default/bankruptcy, trading at severe discounts to face value.
• Chapter 11 Bankruptcy: Allows companies to reorganize debt obligations while continuing operational activity under court supervision.
★ Fulcrum Security: The specific debt tranche in the capital structure that is not fully covered by asset value, which converts into equity ownership of the reorganized firm.
2. Loan-to-Own Strategies
Institutional distressed funds accumulate senior secured debt at a discount with the explicit intention of taking control of the company post-bankruptcy.
